The Problem

When Business Partnerships Break Down

Growing a business requires an aligned vision. When that alignment shatters, companies face paralysis. Left unresolved, internal disputes don't just strain relationships—they trigger severe operational risks:

zepheus-corporate-illust-04@2x

Operational Deadlock

A 50/50 shareholder split or an evenly divided board prevents resolutions from passing, stalling major business decisions.

zepheus-corporate-illust-05@2x

Frozen Banking & Signatories

Banks often freeze corporate accounts upon receiving notice of shareholder or director conflict, crippling cash flow.

zepheus-corporate-illust-06@2x

Minority Shareholder Oppression

Majority founders issuing unilateral decisions, diluting equity, or withholding management accounts and dividends.

Costly, Drawn-Out Litigation

Jumping straight to court can drain hundreds of thousands in legal fees, ruin public reputation, and result in forced company winding-up.

Core Advisory Pillars

Practical Conflict Mediation & Commercial Negotiation

  • Independent, neutral appraisal of the company's statutory records, constitution, and shareholder agreements.
  • Structured round-table mediation to negotiate commercially viable exits, equity valuation frameworks, or operational boundaries.
  • Preservation of business continuity so revenue generation continues while shareholder disputes are settled behind closed doors.

Deadlock Resolution & Exit Unwinding Strategies

  • Unwinding 50/50 equity stalemates using proven commercial governance mechanisms (shotgun clauses, Texas shootouts, or structured buy-sell agreements).
  • Structuring clean equity buyouts, capital reductions, or share cancellations to transition exiting partners smoothly without destroying company liquidity.
  • Corporate restructuring to carve out operating divisions into separate entities when clean coexistence is no longer possible.

Minority Shareholder Protection & Rights Enforcement

  • Exercising statutory inspection rights under the Companies Act 2016 to obtain accounting records, statutory registers, and board minutes.
  • Identifying and remedying oppressive conduct under Section 346 of the Companies Act 2016.
  • Enforcing pre-emptive rights to prevent unauthorized equity dilution during new share issuances.

Boardroom Governance & Extraordinary General Meetings (EGM)

  • Advising on legal requisitions of EGMs under Section 311 of the Companies Act 2016 to remove directors or restructure the board.
  • Drafting precise board and shareholder resolutions to protect company compliance during active disputes.
  • Serving as independent statutory minute-takers to guarantee that proceedings are accurately documented for legal standing.

Structured Exit Pathways Upon Dispute Conclusion

When mediation concludes that partners cannot move forward together, we execute one of four definitive pathways:

1

Equity Buyout or Management Transition

One party acquires the other's shares at an agreed valuation. The exiting shareholder resigns as director, releases personal bank guarantees, and receives clean settlement payouts while the company continues trading uninterrupted

2

Business Demerger or Asset Spin-Off

Operating divisions, intellectual property, contracts, or key assets are apportioned into two distinct entities, allowing former partners to run their respective segments independently without litigation.

3

Orderly Striking-Off (Section 550)

If the business has ceased trading and holds no active assets or liabilities, both parties can mutually agree to strike the company off under Section 550 of the Companies Act 2016. This provides a cost-effective, formal dissolution that closes statutory files cleanly with SSM and LHDN without requiring a liquidator.

4

Members' Voluntary Liquidation (MVL)

If the company is fully solvent with significant residual assets, real estate, cash balances, or complex supplier contracts, we appoint an independent liquidator. The liquidator realizes corporate assets, pays off any remaining third-party claims, and distributes surplus cash directly to shareholders according to equity ratios—ensuring total transparency and zero post-closure disputes.

The 4-Step Dispute Resolution Workflow

Step 1

Confidential Governance Audit

We review your company's Constitution, Shareholder Agreement, SSM records, and financial statements to establish legal leverage and operational standing.
Step 2

Strategy & Options Blueprint

We map out realistic pathways—negotiated settlement, equity buyout, formal EGM requisition, or formal corporate closure.
Step 3

Mediation & Commercial Structuring

We guide negotiations toward an equitable financial outcome, establishing valuation principles and buyout or liquidation terms.
Step 4

Statutory Execution & SSM Filing

We draft binding board/shareholder resolutions, execute share transfers, deregister or liquidate the entity, and lodge all final statutory filings with SSM smoothly.

Frequently Asked Questions

Clear answers to common questions about incorporating and running your Malaysian business digitally with Zepheus.

My partner took company money and refuses to share financial accounts. What can I do?
Under the Companies Act 2016, every shareholder has the legal right to inspect company financial records and statutory books. If a director uses company funds for personal gain or hides bank records, they breach their fiduciary duties. We issue statutory inspection demands, enforce your access to cloud accounting records, and build the audit trail needed to demand repayment or execute a buyout.
We own 50/50 shares and are completely stuck. Can my business partner kick me out?
No. In an equal 50/50 ownership structure, neither partner holds the required majority (>50%) to pass ordinary resolutions or fire the other as director. Neither partner can force the other out unilaterally. When you reach a complete deadlock, we introduce formal deadlock-breaking methods—such as an independent valuation buyout, asset division, or a mutual solvent wind-down.
What is the difference between 'Striking Off' and 'Winding Up' our company after a dispute?
Striking off (SSM Section 550) is a simpler, cheaper way to shut down a dormant, debt-free Sdn Bhd by applying to SSM to remove the company name. Winding up via Members' Voluntary Liquidation (MVL) is a formal statutory closure required when the company has valuable assets, cash in the bank, or unresolved contracts that need an independent liquidator to sell, settle, and distribute to partners.
If we close down the company after our fallout, will I be blacklisted by SSM or the bank?
No, provided the closure is done through proper statutory procedures. A properly managed Section 550 strike-off or Members' Voluntary Liquidation completely dissolves the entity, clears tax files with LHDN, and protects both directors from statutory penalties or director blacklisting. Problems only arise when founders abandon the company without filing Annual Returns or clearing tax accounts.
How do I get off the company bank loan and personal guarantees when I exit?
Selling your shares or resigning as a director does not automatically cancel personal guarantees signed with commercial banks. As part of our exit restructuring, we make bank indemnity and official guarantee releases mandatory pre-conditions: the remaining partner must provide replacement guarantors to the bank before share transfers are completed, ensuring you walk away with zero continuing liability.
