These Terms and Conditions govern your access to and use of our website (zepheus.com), digital portals, and professional advisory services. By accessing our site or engaging our services, you agree to be bound by these terms.

1. Acceptance of Terms & Services Scope

By engaging Zepheus or using our website, you confirm that you are at least 18 years old, possess the legal capacity to enter into binding agreements, and agree to comply with these Terms and Conditions.

Zepheus provides tech-enabled corporate secretarial retainers, company incorporation (Sdn Bhd, LLP), cloud accounting setup, tax advisory coordination, and statutory licensing assistance in Malaysia. Specific deliverables, retainer schedules, and fee structures are governed by your individual Engagement Letter / Service Agreement executed with Zepheus.

2. Client Obligations & Statutory Verification (eKYC)

To comply with the Companies Act 2016, Suruhanjaya Syarikat Malaysia (SSM) mandates, and Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLA) regulations, clients agree to:

  • Provide accurate, truthful, and up-to-date identity records (NRIC/Passport), proof of residential address, and ultimate beneficial ownership (UBO) details.
  • Promptly notify Zepheus of any corporate changes, including alterations to directorship, shareholding, business activities, or registered addresses.
  • Ensure all supporting documents, signatures, and invoices provided for accounting and filing purposes are authentic and legally compliant.

  • Professional Fees: Service fees for retainers, bookkeeping, and incorporation are billed in accordance with the agreed engagement schedule.
  • Invoices are payable within the payment window specified on the invoice.
  • Government Disbursements: Fees payable to third-party government authorities (including SSM filing fees, stamping duties, and official search fees) must be collected in advance. Disbursements are non-refundable once paid out to regulatory systems.
  • Late Payment & Suspension: Failure to settle outstanding invoices may result in the suspension of digital cloud portal access, delay in annual return filings, or formal resignation of secretarial representation.

  • Advisory Disclaimer: Material published on zepheus.com or contained in blog guides is for general informational purposes only and does not constitute formal legal, financial, or tax advice until a signed engagement letter is in place.
  • Maximum Liability: To the maximum extent permitted by Malaysian law, Zepheus’s cumulative liability for any direct loss or damage arising out of our services shall not exceed the total professional fee paid by the client for the specific service in question.
